By using our services or products, you agree to the terms outlined below. Please read them carefully before proceeding.
Acceptance of Terms
By accessing Chain ELD applications or hardware, you confirm your agreement to these Terms of Service and our Privacy Policy.
Definitions
- We/Provider: Chain ELD LLC, provider of applications and hardware.
- You/Customer: Any individual or entity using our services.
- Applications: Chain ELD's web app for fleet management and compliance.
- Hardware: Devices provided by Chain ELD such as Electronic Logging Devices (ELDs).
- Products: Refers to both the Applications and Hardware.
- Personal Information: Any data that can be used to identify an individual.
Use of Product
- You must agree to these Terms within the app or Order Form.
- You may not reverse engineer, sublicense, or exploit the applications.
- Unauthorized use or interference with our systems is prohibited.
Subscription and Fees
- Billing: Subscription fees are billed monthly in advance per your Order Form.
- Hardware: Purchase or rental terms apply. Shipping and returns are your responsibility.
- Late Payments: May result in fees or service interruption.
- Taxes: You are responsible for all applicable taxes.
Hardware Terms
- Hardware must be used lawfully and maintained by the user.
- One-year warranty applies to purchased devices; leased items are covered for rental duration.
- Returns within 30 days may be subject to a restocking fee and damage charges.
Ownership and Intellectual Property
- All rights to software and hardware remain with Chain ELD.
- Usage data may be anonymized and used to enhance services.
Confidentiality
- Both parties agree to protect any shared confidential information for a minimum of seven years.
Limitation of Liability
- Chain ELD is not responsible for indirect losses. Liability is limited to the last six months of fees paid.
- You agree to indemnify Chain ELD for misuse. We will defend against IP claims related to our products.
Term and Termination
- Agreement renews annually unless cancelled with 30 days’ notice.
- Immediate termination applies for breach or non-payment.
- Upon termination, products must be returned and dues cleared.
Dispute Resolution
- Mediation is required before arbitration in Illinois. Otherwise, disputes are handled in Illinois courts.
General Provisions
- Force Majeure: We are not liable for uncontrollable events (e.g. natural disasters).
- Notices: Communications must be in writing and are considered received after five business days.
- Assignment: You may not transfer this agreement without our consent.
- Severability: Invalid provisions do not affect the rest of the agreement.
- Entire Agreement: These Terms and the Privacy Policy represent the full agreement.
Acknowledgment
- By using Chain ELD products, you confirm understanding and acceptance of these Terms. Please review periodically for updates.
